Terms of Service

01 Acceptance of Terms

By accessing or using Reel Stack ("the App"), a web application developed and operated by Crag Studio LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms apply to all users worldwide. Your continued use of the App constitutes your acceptance of any updates to these Terms.

02 Description of Service

Reel Stack is a web application that enables content creators and social media managers to manage TikTok and YouTube content across multiple accounts. Core features include:

• Organizing video content from folders on your device that you grant the App access to through your browser
• Writing and managing captions, hashtags, titles, and metadata
• Scheduling content for publication to TikTok and YouTube
• Connecting TikTok accounts via TikTok's official OAuth 2.0 Login Kit, and YouTube channels via Google's OAuth 2.0 and the YouTube Data API
• Viewing performance analytics from connected TikTok and YouTube accounts

03 Subscription and Payment

Reel Stack is offered on a subscription basis. By subscribing, you agree to the following:

Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the App until the end of the paid period.

Price Changes

We reserve the right to modify subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

Free Trial

If we offer a free trial, it will be described at the time of sign-up. At the end of the trial period, your selected subscription will begin unless you cancel before the trial ends.

04 Social Account Connections

The App integrates with TikTok through TikTok's official Login Kit and Content Posting API, and with YouTube through Google's OAuth 2.0 and the YouTube Data API. By connecting a TikTok or YouTube account, you:

• Authorize us to access your profile information for that account (such as display name, username or channel name, and avatar) on your behalf
• Authorize us to upload and publish content to that account as directed by you
• Agree to comply with the applicable platform's Terms of Service and Community Guidelines — including TikTok's Terms of Service and Community Guidelines and YouTube's Terms of Service — in all content you create and publish through the App

Your use of the YouTube features of the App is also subject to the YouTube Terms of Service.

We store your TikTok and YouTube access and refresh tokens in our managed cloud database (Google Firebase Firestore), encrypted in transit and at rest and scoped to your authenticated Reel Stack account so that no other user can access them. We do not store your TikTok or Google account credentials (username or password). You may disconnect any connected account at any time from within the App, which deletes its stored tokens.

05 User Responsibilities

You are solely responsible for:

• All content you upload, create, schedule, or publish through the App
• Ensuring your content complies with the Community Guidelines and Terms of Service of each platform you publish to, including TikTok and YouTube
• Ensuring your content complies with all applicable laws and regulations in your jurisdiction
• Maintaining the security of your Reel Stack account and your connected TikTok and YouTube (Google) account credentials
• Obtaining all necessary rights, licenses, and permissions for any content you publish

You agree not to use the App to upload, schedule, or publish content that is illegal, harmful, deceptive, infringing, or in violation of any third-party rights.

06 Intellectual Property

Your Content

You retain all ownership rights to the content you create and upload through the App. By using the App to publish content to TikTok or YouTube, you are subject to that platform's content licensing terms, not ours.

Our Intellectual Property

Reel Stack, including its software, design, trademarks, and all related materials, is owned by Crag Studio LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works of the App without our express written permission.

07 Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRAG STUDIO LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or that defects will be corrected. We are not responsible for any disruptions to TikTok's or YouTube's APIs or platforms that may affect App functionality.

08 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRAG STUDIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO CRAG STUDIO LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

09 Termination

We reserve the right to suspend or terminate your access to the App at our discretion if you violate these Terms. You may terminate your use of the App at any time by cancelling your subscription and discontinuing use of the App. Upon termination, video files and metadata in your local folders remain on your device, and you may delete your connected-account data at any time from within the App.

10 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Travis County, Texas.

If you are located outside the United States, you consent to the transfer and processing of your data in the United States.

11 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by email. Your continued use of the App after the effective date of the updated Terms constitutes your acceptance.
